Terms of Service

These Terms of Service (hereinafter referred to as the "Terms") set forth the terms and conditions for the use of the platform mobile application connecting travelers with tour guides (hereinafter referred to as the "Service") provided by Sendatz (hereinafter referred to as "we," "us," or "our"). All users of the Service (hereinafter referred to as "Users") are deemed to have agreed to these Terms before using the Service.

1. Application

  1. These Terms apply to all relationships between Users and us regarding the use of the Service.
  2. If you do not agree to these Terms, please refrain from using the Service.

2. Definitions

In these Terms, the following terms shall have the following meanings:

  1. Traveler: An individual who uses the Service to receive tour guide services
  2. Tour Guide: An individual or legal entity that provides tour guide services to travelers through the Service
  3. Account: Identification and authentication information registered by a User to use the Service
  4. Platform Fee: The fee collected from travelers for providing the Service and a portion of the compensation received from tour guides as our revenue

3. Service Contents

  1. We provide functions such as matching travelers with tour guides, reservation management, and payment processing through the Service.
  2. Travelers shall make payments for services provided by tour guides, and the platform fee set by us will be charged.
  3. We collect and manage necessary information for the smooth operation and improvement of the Service.

4. Registration

  1. To use the Service, account registration is required in the manner prescribed by us.
  2. We may not approve registration applications in the following cases and are not obligated to disclose the reason:
    • When registration information contains false information
    • When we determine it inappropriate due to past violations of these Terms
    • When we determine that the applicant is or is affiliated with anti-social forces
    • When we otherwise determine the application to be inappropriate
  3. Users are responsible for maintaining the accuracy and up-to-date status of the information provided during registration.
  4. Users shall promptly notify us of any changes to the registration information.

5. User Responsibilities

  1. Users are responsible for managing their accounts and passwords and are prohibited from transferring or lending them to third parties.
  2. If unauthorized use by a third party is discovered, Users shall immediately notify us and follow our instructions.
  3. We consider access with matching User ID and password to be use by the actual User and the User shall bear the responsibility for any resulting consequences.
  4. We are not responsible for damages caused by unauthorized use by third parties unless there is willful misconduct or gross negligence on our part.
  5. Users shall comply with relevant laws, these Terms, and guidelines established by us when using the Service.

6. Prohibited Actions

Users shall not engage in the following actions when using the Service:

  1. Actions that violate laws or public order and morals
  2. Actions related to criminal activities
  3. Registering or providing false information
  4. Actions that infringe upon the rights of other Users, third parties, or us
  5. Actions that interfere with the operation of the Service or compromise security, such as unauthorized access
  6. Improperly collecting or storing other User information
  7. Impersonating other Users
  8. Directly or indirectly providing benefits to anti-social forces
  9. Actions that infringe upon the intellectual property rights, publicity rights, privacy, reputation, etc., of others
  10. Posting inappropriate content such as excessive violence, explicit sexual expression, discriminatory expression, or content encouraging suicide, self-harm, or drug abuse
  11. Actions aimed at meeting individuals of the opposite sex whom the User has never met
  12. Harassment or defamation of other Users
  13. Actions that cause disadvantage, damage, or discomfort to us or third parties
  14. Creating and using multiple accounts improperly
  15. Actions that deviate from the purpose and intent of the Service
  16. Religious activities or solicitation for religious organizations
  17. Other actions that we deem inappropriate

If we determine that a User has engaged in any of the above actions, we reserve the right to suspend or delete the User's account without prior notice.

7. Service Fees and Payment

  1. The fee structure in the Service follows the guide fees and cancellation policies set by Tour Guide Users within the range determined by us.
  2. In case of payment delay, Users shall pay a late payment charge of 14.6% per annum.
  3. We will not refund usage fees already received under any circumstances.
  4. In case of payment delinquency, we may suspend or restrict the User's use without notice.
  5. Payment processing is conducted through Stripe Connect (Express), and Tour Guide Users must open an account according to Stripe's requirements.
  6. Travelers shall pay not only the fee for the Tour Guide's service but also actual expenses incurred during the tour.
  7. Tour Guide Users agree to pay the platform fee set by us (e.g., 20 percent of the fee) and Stripe payment processing fees from their sales. Fee rates and payment cycles are separately determined by us.
  8. All matters concerning guide quality, legal compliance, tax processing, intellectual property rights, etc., between Tour Guide Users and purchasers are the responsibility of those parties, and we are not involved in these matters and bear no responsibility.
  9. Conditions for refunds and cancellations are handled based on our cancellation policy.
  10. Actual expenses incurred during guided tours, such as transportation, meals, and entrance fees, shall be paid directly by travelers to the guide.

8. Cancellation and Refund Policy

Refunds and cancellation fees may apply after customers have contracted with guides for tours:

  1. Cancellation by Guide

    The guide fee will be refunded in full.

  2. Cancellation by Customer
    • For the Guide Now feature, no refund will be provided except in unavoidable circumstances.
    • For other features, the guide fee will be refunded in full for cancellations made up to one week in advance. After that, no refund will be provided except in unavoidable circumstances.

The determination of unavoidable circumstances will be made by us, and such decisions will be final.

9. Intellectual Property Rights

  1. All intellectual property rights related to the Service, including content, design, programs, and other copyrighted works, belong to us or third parties with legitimate rights.
  2. Users may not use or reproduce intellectual property rights related to the Service without our express permission.

10. Usage Restriction and Account Deletion

  1. We may restrict a User's usage or delete their registration without prior notice in the following cases:
    • When there is a violation of these Terms
    • When registration information is found to be false
    • When payment inability, bankruptcy proceedings, etc., occur
    • When there is no response to our inquiries for more than 30 days
    • When there is no usage for a certain period and intention cannot be confirmed
    • When we otherwise determine it to be inappropriate
  2. We are not responsible for any damages caused by usage suspension or deletion.
  3. After account suspension or deletion, Users may lose access to paid content and the right to receive sales, and we are not obligated to retain or provide data or reports.

11. Disclaimer

  1. We do not guarantee the completeness, accuracy, or usefulness of the Service and are not responsible for any damages arising from the use of the Service.
  2. We are not responsible for any interruption or delay in the Service due to natural disasters, system failures, or other force majeure events.
  3. Disputes between Users shall be resolved among the relevant Users, and we shall not be involved or bear any responsibility.

12. Changes, Suspension, or Termination of the Service

  1. We may change, suspend, or terminate the Service with prior notice to Users or announcement on the Service.
  2. We are not responsible for any damages incurred due to changes, suspension, or termination of the Service.

13. Changes to the Terms

  1. We may change these Terms when we deem it necessary.
  2. Changed Terms will be effective from the time they are posted on the Service or our website, and Users are deemed to have agreed to the changed Terms by continuing to use the Service.

14. Separability

Even if part of these Terms is determined to be invalid or unenforceable by laws or regulations, the remaining parts will remain valid.

15. Notices and Communications

We will communicate with Users through methods prescribed by us, and unless Users have provided advance notice of changes, communications to registered contact information will be deemed to have been received.

16. Prohibition of Transfer of Rights and Obligations

Users may not transfer or provide as collateral their rights or obligations under these Terms to third parties without our prior written consent.

17. Governing Law and Jurisdiction

  1. These Terms shall be interpreted in accordance with the laws of Japan.
  2. In the event of a dispute related to the Service, the Tokyo District Court shall be the court of first instance with exclusive jurisdiction.
